Netherlands-based Loyens & Loeff assisted HCM Acquisition Corp's on their business combination with Mexican real estate company Grupo Murano through a deSPAC merger in a transaction values Murano at a pro forma enterprise value of $810 million; Cleary Gottlieb represented Mexico-based telecom giant América Móvil in connection with the reclassification of its existing series of shares (Series AA, Series A and Series L) into a single new Series B of ordinary shares with full voting rights on a one-for-one basis; Conyers and Simpson Thacher advised the $74 million loan for SIBA Energy Corporation in the Dominican Republic and Skadden and Simpson advised on the closing of the $581 million merger between SPAC HPX Corp and Emergência.
